PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. These Terms and Conditions (these “Terms”) form a legally binding agreement between you (“you,” “your,” or “Customer”) and Source2050 LLC, a New York limited liability company (“Source2050,” “we,” “us,” or “our”), the owner and operator of the website located at Source2050.com and any related subdomains, mobile applications, and services (collectively, the “Marketplace”).

BY ACCESSING, BROWSING, REGISTERING FOR, OR USING THE MARKETPLACE, OR BY PLACING AN ORDER THROUGH THE MARKETPLACE, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS IN SECTION 17. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE MARKETPLACE.

1. The Marketplace Model; Our Role

1.1 Marketplace Only.

The Marketplace is an online platform that enables independent third-party sellers (each, a “Vendor”) to list, market, and sell products (“Products”) directly to customers. Source2050 operates the Marketplace solely as an intermediary technology platform and payment processor.

1.2 No Inventory; No Sale by Source2050.

Source2050 does not own, hold, store, manufacture, inspect, package, ship, or take title to any Product listed on the Marketplace. Each Product sale is fulfilled by the Vendor that lists it. Source2050 does not act as an agent of any Vendor or Customer except for the limited purpose of payment processing described in Section 4.

1.3 Vendors Are Independent.

Each Vendor is an independent business that is solely responsible for its listings, Products, descriptions, photographs, claims, prices, taxes, fulfillment, customer communications, warranties, refunds, returns, and compliance with all applicable laws. Vendors are not employees, agents, partners, joint venturers, or affiliates of Source2050.

2. Eligibility and Account Registration

2.1 Eligibility.

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Marketplace. By using the Marketplace, you represent and warrant that you meet these requirements.

2.2 Account.

You may be required to create an account to place certain orders. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to update it as needed. You must notify us promptly of any unauthorized use of your account.

2.3 Termination of Access.

We may suspend, restrict, or terminate your access to the Marketplace at any time, with or without notice, for any reason, including suspected violation of these Terms or applicable law.

3. Listings and Vendor Representations

3.1 Vendor-Provided Content.

All Product titles, descriptions, specifications, images, claims, performance data, compatibility statements, certifications, ingredient or material lists, country-of-origin statements, ratings, reviews, prices, availability information, and other content relating to a Product (collectively, “Vendor Content”) is supplied by the applicable Vendor. Source2050 does not author, verify, endorse, guarantee, or assume responsibility for any Vendor Content.

3.2 No Representations by Source2050.

ANY AND ALL REPRESENTATIONS, WARRANTIES, GUARANTEES, OR STATEMENTS OF ANY KIND CONCERNING ANY PRODUCT—INCLUDING WITHOUT LIMITATION REPRESENTATIONS REGARDING QUALITY, PERFORMANCE, SAFETY, EFFICACY, DURABILITY, FITNESS OR SUITABILITY FOR ANY PARTICULAR PURPOSE OR USE, MERCHANTABILITY, NON-INFRINGEMENT, COMPATIBILITY, ORIGIN, AUTHENTICITY, COMPLIANCE WITH STANDARDS OR LAWS, OR THE ACCURACY OR COMPLETENESS OF DESCRIPTIONS—ARE MADE SOLELY BY THE LISTING VENDOR AND NOT BY SOURCE2050. SOURCE2050 MAKES NO SUCH REPRESENTATIONS OR WARRANTIES AND SHALL NOT BE LIABLE FOR ANY BREACH THEREOF.

3.3 Customer Responsibility to Evaluate.

You are responsible for reviewing each Product listing carefully and for determining whether the Product is appropriate for your intended use. If a Product’s suitability for a particular purpose is material to you, you should undertake your own research and verification before purchasing to obtain or confirm any necessary confirmation, specification sheets, or warranties.

3.4 Errors and Inaccuracies.

Despite our efforts, listings may contain errors regarding price, description, availability, or other details. We and the Vendor reserve the right to correct any errors and to cancel any order placed in reliance on inaccurate information, including after an order has been confirmed. If your order is canceled and you have already been charged, you will receive a refund of the amount paid for the canceled item.

4. Orders, Pricing, and Payment Processing

4.1 Prices and Taxes.

Prices are set by Vendors and may change at any time. Unless otherwise stated, prices do not include shipping, handling, duties, or applicable taxes, which may be added at checkout. Each Vendor is responsible for collecting and remitting all taxes it is required to collect on its sales, except where Source2050 is required by law to collect and remit such taxes (e.g., applicable marketplace facilitator laws), in which case Source2050 will do so.

4.2 Payment Processing.

Source2050 (directly or through its third-party payment processors) processes payments from Customers on behalf of Vendors as a limited payment collection agent of each Vendor solely for the purpose of accepting funds from Customers. Your payment obligation to the applicable Vendor is satisfied upon receipt of payment by Source2050 (or its payment processor). Source2050 will remit the proceeds of each transaction to the applicable Vendor, less Source2050’s commission, fees, taxes (where applicable), refunds, chargebacks, and other amounts owed by the Vendor to Source2050, in accordance with Source2050’s separate agreement with the Vendor.

4.3 Authorized Charges.

By providing payment information, you authorize Source2050 and its payment processors to charge your designated payment method for the total amount of your order, including all applicable taxes, shipping, and handling fees.

4.4 Currency.

Unless otherwise indicated, all prices are quoted, and all charges and refunds are made, in U.S. dollars.

5. Shipping, Delivery, and Fulfillment

5.1 Vendor-Fulfilled Orders.

All Products are shipped and fulfilled directly by the Vendor, not by Source2050. Shipping methods, carriers, processing times, transit times, packaging, shipping fees, geographic restrictions, tracking, insurance, customs handling, and risk-of-loss terms are determined and set by the applicable Vendor and are described in the Vendor’s listing or shipping policy.

5.2 Shipping Issues; Recourse.

Any issue or dispute relating to shipping or delivery—including without limitation late shipment, non-delivery, partial delivery, lost or stolen packages, damaged packaging, incorrect items shipped, carrier delays, customs delays, or failure to meet any estimated delivery date—is the sole responsibility of the Vendor. Source 2050 will facilitate any questions or issues that arise, but your recourse for any shipping or delivery failure is exclusively against the Vendor that fulfilled or was to fulfill the order. Source2050 is not a carrier, freight forwarder, or fulfillment provider, has no control over shipping, and disclaims all liability arising from any Vendor’s shipping or fulfillment performance.

5.3 Title and Risk of Loss.

Title to and risk of loss for a Product passes from the Vendor to you in accordance with the Vendor’s shipping terms. At no time does Source2050 take title to or possession of any Product.

5.4 Customer Cooperation.

You are responsible for providing accurate shipping information and for being available (or arranging for an authorized recipient) to accept delivery. Re-delivery, address-correction, or return-to-sender fees imposed by carriers may be charged to you by the Vendor.

6. Returns, Refunds, Exchanges, and Cancellations

6.1 Vendor-Set Policies.

Each Vendor sets its own return, exchange, refund, and cancellation policies, including return windows, restocking fees, return-shipping responsibility, and exclusions for non-returnable items. These policies are disclosed by the Vendor on the Marketplace and form part of your contract of sale with the Vendor. You should review the applicable Vendor’s policies before purchasing.

6.2 Recourse for Refund and Return Failures.

Any claim or dispute relating to a return, refund, exchange, cancellation, or warranty—including a Vendor’s alleged failure to honor its stated policy—is solely between you and the Vendor and must be directed to the Vendor. Source2050 is not responsible for issuing refunds on behalf of any Vendor except where Source2050 elects, in its sole discretion, to do so as part of a buyer-protection or dispute-resolution program (if any), or where required by applicable law or by the rules of a card network or payment processor.

6.3 Refund Mechanics.

Where a refund is approved (whether by the Vendor or by Source2050), the refund will generally be issued to the original payment method. Processing times vary based on your payment provider. Refunds may exclude original shipping fees, return-shipping fees, and any restocking fees as set forth in the applicable Vendor’s policy.

6.4 Chargebacks.

If you believe an unauthorized charge has been made to your payment method, please contact us before initiating a chargeback so that we can attempt to assist. Initiating a chargeback in bad faith, or without first attempting to resolve the issue with the Vendor or Source2050, may result in suspension or termination of your account.

7. Product Warranties

7.1 Vendor Warranties Only.

Any warranty applicable to a Product (express or implied) is provided solely by the Vendor of that Product. SOURCE2050 PROVIDES NO PRODUCT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOURCE2050 DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE, WITH RESPECT TO ALL PRODUCTS LISTED ON THE MARKETPLACE.

7.2 Warranty Claims.

All warranty claims must be submitted directly to the applicable Vendor in accordance with the Vendor’s warranty policy. Source2050 may, but is not obligated to, assist you in contacting a Vendor regarding a warranty claim.

8. Customer Conduct and Prohibited Uses

You agree not to: (a) use the Marketplace for any unlawful purpose or in violation of any applicable law; (b) infringe the intellectual property, privacy, publicity, or other rights of Source2050, any Vendor, or any third party; (c) interfere with or disrupt the Marketplace, its servers, or networks; (d) attempt to gain unauthorized access to any part of the Marketplace or any account; (e) use automated means (including bots, scrapers, or crawlers) to access the Marketplace except as expressly permitted; (f) submit false, misleading, defamatory, harassing, or fraudulent content; (g) place orders using fraudulent payment methods or submit false chargebacks; or (h) resell or commercially exploit the Marketplace except as expressly authorized.

9. Reviews and User-Submitted Content

If you submit reviews, ratings, photographs, comments, questions, or other content to the Marketplace (“User Content”), you grant Source2050 and the applicable Vendor a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, copy, modify, display, distribute, and create derivative works from your User Content for any purpose related to the operation, promotion, or improvement of the Marketplace and the Vendor’s business. You represent and warrant that you have all rights necessary to grant this license and that your User Content is accurate, lawful, and does not infringe the rights of any third party.

10. Intellectual Property

The Marketplace, including its design, software, trademarks, logos, and all content other than Vendor Content and User Content, is owned by Source2050 or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Source2050 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Marketplace solely for personal, non-commercial purposes. All other rights are reserved.

11. Third-Party Links and Services

The Marketplace may contain links to third-party websites or services that are not owned or controlled by Source2050. We are not responsible for the content, policies, or practices of any third-party websites or services. Your use of any third-party website or service is at your own risk and subject to the terms of that third party.

12. Disclaimer of Warranties

THE MARKETPLACE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOURCE2050 DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SOURCE2050 DOES NOT WARRANT THAT THE MARKETPLACE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY VENDOR CONTENT OR LISTING IS ACCURATE, COMPLETE, OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SOURCE2050, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS, THE MARKETPLACE, OR ANY PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF SOURCE2050 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SOURCE2050 ARISING OUT OF OR RELATING TO THESE TERMS, THE MARKETPLACE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL COMMISSION ACTUALLY RETAINED BY SOURCE2050 ON THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you. In such jurisdictions, Source2050’s liability is limited to the maximum extent permitted by law.

14. Release of Source2050

You hereby release Source2050 and its affiliates, and their respective officers, directors, members, employees, and agents, from any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorneys’ fees), known and unknown, arising out of or in any way connected with: (a) any Product or Vendor Content; (b) any act or omission of any Vendor (including failure to ship, late shipment, defective Products, breach of warranty, and failure to honor returns or refunds); (c) any dispute between you and any Vendor; and (d) any representation, warranty, or statement made by any Vendor. If you are a California resident, you expressly waive California Civil Code § 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

15. Indemnification

You agree to indemnify, defend, and hold harmless Source2050, its affiliates, and their respective officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with (a) your access to or use of the Marketplace; (b) your violation of these Terms; (c) your User Content; (d) your violation of any law or the rights of any third party; or (e) any dispute between you and a Vendor.

16. Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms or the Marketplace will be governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 17, the state and federal courts located in New York County, New York will have exclusive jurisdiction over any matter not subject to arbitration, and you consent to the personal jurisdiction of those courts.

17. Binding Arbitration; Class Action Waiver

17.1 Agreement to Arbitrate.

You and Source2050 agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Marketplace (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, and not in court. The arbitration will be conducted in New York County, New York, or, at your election, in your county of residence or by telephone or video conference. The arbitrator’s award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

17.2 Class Action Waiver.

YOU AND SOURCE2050 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

17.3 Exceptions; Small Claims; Opt-Out.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in court for alleged infringement or misappropriation of intellectual property. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to the address in Section 21 within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

17.4 Federal Arbitration Act.

This Section 17 is governed by the Federal Arbitration Act.

18. Changes to These Terms

We may modify these Terms from time to time. The updated Terms will be posted on the Marketplace with a revised “Last Updated” date. Material changes will be communicated through the Marketplace or, where you have an account, by email. Your continued use of the Marketplace after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Marketplace.

19. Termination

These Terms remain in effect for as long as you use the Marketplace. We may terminate or suspend your access to the Marketplace at any time, with or without cause or notice. Sections that by their nature should survive termination (including Sections 3.2, 4, 5.2, 6.2, 7, 10, 12–17, and 20–22) will survive termination.

20. Privacy

Our collection and use of personal information in connection with the Marketplace is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Marketplace, you acknowledge that information you provide may be shared with the applicable Vendor as necessary to fulfill your order.

We may provide notices to you by posting on the Marketplace, by email to the address associated with your account, or by other reasonable means.

22. Miscellaneous

22.1 Entire Agreement.

These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and Source2050 regarding the Marketplace and supersede all prior agreements and understandings.

22.2 Severability.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

22.3 No Waiver.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

22.4 Assignment.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely. Any attempted assignment in violation of this Section is void.

22.5 Force Majeure.

Source2050 will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, telecommunications failures, or shortages of transportation, facilities, fuel, energy, labor, or materials.

22.6 No Agency.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Source2050, or between you and any Vendor and Source2050.

22.7 Headings.

Section headings are for convenience only and do not affect interpretation.
